PROPOSED COMMERCIAL PROCEDURE

1. Buyer submits LOI + Company Profile

The prospective buyer submits:

  • Official Letter of Intent (LOI)
  • Full company profile
  • Certificate of incorporation/registration
  • Authorized representative information
  • Intended quantity
  • Destination port
  • Preferred delivery schedule
  • Buyer banking information where required for transaction due diligence

2. UrbanPetro evaluates the buyer and issues SCO

Following preliminary commercial and compliance review, UrbanPetro Inc. may issue a Soft Corporate Offer (SCO) containing the applicable commercial terms, subject to product availability and seller approval.

3. Buyer submits ICPO

If the buyer accepts the commercial terms, the buyer submits an official Irrevocable Corporate Purchase Order (ICPO) or other purchase document requested by UrbanPetro.

4. Seller prepares SPA / MOU

UrbanPetro and the buyer negotiate the applicable Sales and Purchase Agreement (SPA) and/or Memorandum of Understanding (MOU).

The final agreement should specify, among other matters:

5. Buyer signs contractual documents and provides storage information

Any satellite/location information should be supplied only where commercially necessary and legally appropriate.

6. Seller counter-signs

After satisfactory review and approval, UrbanPetro Inc. counter-signs and returns the executed contractual documents to the buyer.

7. INITIAL TRANSACTION DOCUMENTATION

Subject to the transaction structure and applicable confidentiality/compliance requirements, UrbanPetro may provide appropriate documentation such as:

7.1 Product Passport / Product Specification

Technical information identifying the product and applicable quality parameters.

7.2 Product Availability Confirmation

Confirmation of product availability issued by the appropriate supplier/refinery/trading source, where available and permitted.

7.3 Commitment / Supply Confirmation

Commercial confirmation relating to the agreed supply commitment, where applicable.

7.4 Commercial Invoice / Pro Forma Invoice

Issued according to the agreed transaction structure and contractual requirements.

7.5 Executed SPA / MOU

Copy of the duly executed agreement.

7.6 UrbanPetro Business Portal Access

Where applicable, qualified counterparties may receive controlled access to UrbanPetro’s secure business portal.

Portal credentials are confidential and are issued only through authorized UrbanPetro channels.

7.7 Approved Partner / Supplier Information

Where commercially and legally appropriate, UrbanPetro may provide relevant supplier/partner information subject to confidentiality and disclosure restrictions.

7.8 UrbanPetro Corporate KYC / CIS

Corporate identification and KYC documentation may be exchanged between the parties subject to applicable privacy, AML and compliance requirements.

7.9 Banking / Instrument Documentation

Where a bank instrument is part of the agreed transaction, the relevant banking information and contractual documentation will be provided through the appropriate authorized banking channels.

7.10 Payment Receiving Information

Where applicable, UrbanPetro will provide verified payment instructions for settlement through the nominated bank account stated in the executed contract.

Buyers should independently verify all bank instructions using an authenticated corporate communication channel before making any payment.

8. BANK INSTRUMENT — WHERE CONTRACTUALLY REQUIRED

Following successful document review and execution of the transaction documents, the buyer may be required to arrange the agreed banking instrument, such as:

MT760 SBLC or MT700 DLC, where specifically required by the executed contract.

Any bank instrument must be issued through legitimate banking channels and must satisfy the conditions agreed between the parties and their respective banks.

No bank instrument should be issued merely on the basis of an advertisement, preliminary offer or unexecuted proposal.

9. SHIPPING & EXPORT DOCUMENTATION

Following verification and acceptance of the agreed financial instrument, UrbanPetro/supplier may proceed with the applicable shipping and export documentation.

Depending on the origin, destination, vessel, Incoterms and transaction structure, documentation may include:

  • Commercial Invoice
  • Packing/quantity documentation where applicable

The exact document package depends on the actual transaction and jurisdiction. No document should be represented as available before it has actually been issued by the competent party.

For U.S.-origin exports, Electronic Export Information (EEI) may be required through the Automated Export System (AES), including generally for shipments exceeding the applicable $2,500 threshold per Schedule B/HTS classification and for certain licensed transactions.

10. ARRIVAL, INSPECTION & FINAL PAYMENT

When the vessel arrives at the agreed destination port and the cargo is made available in accordance with the SPA:

  1. The buyer conducts the agreed quantity and quality inspection (“Q&Q”) or equivalent independent inspection.
  2. The inspection must be conducted according to the procedure and standards stated in the SPA.
  3. Upon successful completion of the contractual conditions, the buyer settles the outstanding invoice amount through the nominated bank using the agreed payment method, such as MT103, where applicable.
  4. Payment must be made only to the verified account specified in the contract executed.

11. CARGO DISCHARGE

Following confirmation of cleared funds and satisfaction of the contractual conditions, the cargo is discharged to the buyer’s nominated and approved tank/storage facility or other approved receiving arrangements, according to the agreed CIF and terminal procedures.

All discharge operations remain subject to:

  • Port regulations
  • Terminal regulations
  • Vessel requirements
  • Customs clearance
  • Import authorization
  • Safety requirements
  • Inspection requirements
  • Applicable law

12. TRANSFER OF TITLE

Where provided in the executed SPA, legal title to the product transfers to the buyer at the contractual title-transfer point after satisfaction of the applicable payment and delivery conditions.

The exact point of title and risk transfer must be expressly stated in the SPA and should not be inferred from this marketing announcement.

13. COMMISSION / MANDATE SETTLEMENT

Where commissions or mandate fees have been contractually agreed, UrbanPetro Inc. will process the applicable commission settlement after completion of the transaction and fulfillment of the contractual conditions.

All commissions are subject to applicable law, banking requirements, tax obligations, sanctions requirements and the executed contractual arrangements.

REGULATORY & COMPLIANCE FRAMEWORK

USDA does not operate a general “USDA government protocol” for petroleum-product exports and imports.

USDA’s principal regulatory responsibilities concern agriculture, plants, animals and related commodities. Petroleum transactions require a different regulatory analysis.

Customs entry, clearance and import/export procedures where applicable.
